Change Data Capture (CDC) Service Agreement | HireHop Equipment Rental Software
This Change Data Capture Service Agreement (the “Agreement”) is entered into by and between HireHop (“Company”, “We”, “Us”, or “Our”) and the subscribing customer (“Customer”, “You”, or “Your”).
By paying the initial setup fee or utilizing the CDC Database Replication Service (the “Service”), You agree to be bound by the terms and conditions set forth below.
1. DESCRIPTION AND NATURE OF SERVICE
1.1. Optional Standalone Service: This Change Data Capture (CDC) replication pipeline is not a standard feature of the HireHop software and is not included in any standard HireHop subscription. It is an optional, standalone, and chargeable additional service supplied solely at the request of the Customer.
1.2. Service Functionality: HireHop agrees to provide and maintain a CDC replication pipeline that extracts data from HireHop’s master databases and pushes structural commands and row-level data (e.g., INSERT, UPDATE, DELETE) to a standalone database schema hosted on Your designated external server (the “Target Server”).
2. CUSTOMER INFRASTRUCTURE RESPONSIBILITIES
2.1. Customer-Provided Server: The Customer is solely responsible for procuring, configuring, maintaining, and paying for the Target Server and its associated infrastructure. HireHop assumes absolutely no responsibility, liability, or financial obligation regarding the Customer’s server hosting, network configuration, storage, or computational resources.
2.2. Network Access and Security: The Customer must ensure the Target Server meets HireHop’s prerequisites, including provisioning an empty MySQL database, creating the necessary user credentials with appropriate DML (Data Manipulation Language) and DDL (Data Definition Language) permissions, and whitelisting HireHop’s designated IP addresses in the Customer’s firewall.
2.3. Data Protection: Once data is successfully transmitted to the Target Server, the Customer assumes full responsibility for its security, backup, and compliance with applicable data protection regulations.
3. FEES AND PAYMENT TERMS
3.1. Initial Setup Fee: The Customer shall pay a one-time, non-refundable initial setup fee of £750 (GBP) prior to the commencement of the Service deployment.
3.2. Annual Subscription Fee: Access to the Service requires an active subscription. The subscription fee is billed annually, strictly in advance.
3.3. Tiered Pricing: The annual subscription fee is tiered based on the Customer’s active user count within the HireHop software. If the Customer’s user count increases and crosses into a higher billing tier during the annual term, HireHop reserves the right to prorate and invoice the difference.
3.4. Single Server Limitation: The initial setup fee and the annual subscription fee cover the replication pipeline to one (1) Target Server only. Any requests to replicate data to additional servers or secondary environments will incur additional setup and annual subscription fees.
4. FAILURES, MAINTENANCE, AND RE-SETUP FEES
4.1. Customer-Caused or Third-Party Failures: If the CDC pipeline breaks, disconnects, or requires re-configuration due to a fault, failure, or alteration on the Customer’s Target Server (including, but not limited to, server crashes, accidental data deletion, or third-party hosting outages), or if the Customer revokes, changes, or removes HireHop’s access credentials or network permissions to the Target Server resulting in a disconnection that cannot be easily re-established, a £350 (GBP) Re-Setup Fee will apply to restore the Service.
4.2. HireHop-Caused Failures: If the CDC pipeline fails solely due to a fault originating from HireHop’s infrastructure, software, or personnel, HireHop will re-establish the connection and restore the Service free of charge.
4.3. Pipeline Pauses: HireHop reserves the right to temporarily pause the replication pipeline during scheduled maintenance windows or if the Customer’s Target Server becomes unresponsive and threatens the stability of HireHop’s infrastructure.
5. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, HireHop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from
- (a) Your access to or use of or inability to access or use the Service;
- (b) any failure of Your Target Server; or
- (c) any unauthorized access, use, or alteration of Your transmissions or data once it has reached the Target Server.
6. TERM AND TERMINATION
6.1. Term: This Agreement shall commence on the date the setup fee is paid and shall continue for an initial term of one (1) year, automatically renewing for subsequent one-year periods unless either party provides written notice of non-renewal at least fourteen (14) days prior to the expiration of the current term.
6.2. Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure the breach within fourteen (14) days of receiving written notice.
6.3. Effect of Termination: Upon termination, HireHop will immediately sever the replication pipeline. No prorated refunds will be issued for the remainder of an annual term if the Customer terminates the Service or if HireHop terminates for Customer breach.
7. GENERAL PROVISIONS
7.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
7.2. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
7.3. Modification: HireHop reserves the right to modify these terms upon providing reasonable written notice to the Customer. Continued use of the Service following such notice constitutes acceptance of the modified terms.
